This basic representation contract between YOU (Mentioned as the Member or the Network Member) and ALLTHECONTENT.COM (mentioned as ATC of the Network) sets the following agreement:

 

  1. The Member owns and/or produces content, content rights, intellectual property rights and wants to increase the reach of such content by finding new deal.
  2. The Member and ATC are partnering to expand the Member's business. The Member gives a right to ATC to store and display his/her profile as "member of the network".
  3. Once integrated in the network, the member may propose existing content to us and will receive new proposals of collaboration that can be accepted or refused. Each proposal will detail the particular conditions of the order (ex: price paid, delay of delivery, etc.) and be provided with the standard terms for such deal.
  4. When a customer is signed by ATC to sell Member's services, it is agreed that no direct deals will engaged or proposed to bypass ATC and that the signed customer will stay exclusive to ATC.
  5. Once every six months or more often when the case occurs, ATC will make a reporting to the Member to indicate where profile have been presented and, possibly, currently discussed. 



This said, it is clearly understood:

  1. The Member keeps full right on all his /her works and has the right to refuse proposals from ATC.
  2. This agreement only gives the right to ATC to include Member's profile in his content producers network and propose Member's talent to ATC customers or prospects.
  3. No agreement involving the Member will be signed without Member's approval. For this reason, at this stage, no payment is done by ATC to the Member.
  4. The Member will provide valid, true and honest material and information for his profile.
  5. ATC will be in all cases fully transparent with the Member in regards to the common business.
  6. All communications request will be treated within reasonable communication delays.
  7. This Agreement does not constitute and may not be construed as constituting a partnership or joint venture among the Parties hereto, or an employee-employer relationship.
